Robert L. Lawrence

Robert Lawrence is Managing Partner of Michael Best's New York office and Head of Corporate, New York. He practices corporate, commercial, and securities law on behalf of public companies (including NYSE, NYSE Amex, and NASDAQ-listed issuers), private companies, venture capitalists, partnerships, and individuals, advising owners, officers, and directors on commercial, business, securities, and personal matters.

He has extensive experience representing public and private companies—often as outside general counsel—in mergers and acquisitions of all types, including stock and asset transactions, tender offers and proxy contests, joint ventures, SPACs, reverse mergers, licensing arrangements, and other complex business matters, as well as Hart-Scott-Rodino filings and the negotiation of executive employment, shareholder, and partnership agreements. 

Robert also advises public companies on regulatory compliance with the securities laws, including the preparation and filing of registration statements, periodic reports, and other SEC filings under the Securities Act of 1933 and the Securities Exchange Act of 1934. He has represented lenders and borrowers in secured and unsecured credit facilities, and issuers and underwriters in initial and secondary public offerings of debt and equity securities across a range of industries, including medical, retail, and manufacturing. 

Robert joined Michael Best with the New York team of Kane Kessler, P.C. He previously served as Managing Partner of Kane Kessler and as Chair of the firm's Corporate and Securities and General Business practice groups.
