A real-world dispute shows why your LLC operating agreement matters more than you think.<h2 style="margin-left: 0">The Scene</h2>Two business partners launched an LLC together. They shook hands, split the startup costs roughly down the middle, and got to work. One partner handled sales and client relationships. The other managed operations and finance. For three years, everything hummed along. Revenue grew. They hired employees. They reinvested profits without much discussion about who was entitled to what.Then the relationship soured. The sales partner wanted to bring in an outside investor and dilute the other’s stake. The operations partner said no — he believed their original handshake meant fifty-fifty, forever. Neither could point to a written agreement that settled the question. What followed was eighteen months of litigation, six figures in legal fees, and a business that nearly collapsed under the weight of the fight.<h2 style="margin-left: 0">What Went Wrong</h2>The partners never signed an operating agreement. That single omission meant there was no written record of who owned what percentage, who had authority to make major decisions, or what would happen if they disagreed. When the dispute hit the courtroom, the judge had no contract to interpret. Instead, the court applied the state’s default LLC statute — a set of rules neither partner had ever read, let alone chosen.Under those default rules, the court treated the partners as equal fifty-fifty owners regardless of who contributed more money or effort. That sounds fair until you realize it also meant every major decision — bringing in a new investor, selling the company, even taking on a new lease — required unanimous consent. One partner’s “no” could block everything. And that is exactly what happened.The DamageThe litigation consumed the business. Clients noticed. Employees left. The partners eventually settled, but only after spending more on lawyers than either partner took home in salary that year. The operations partner accepted a reduced buyout. The sales partner kept the company but inherited a shell of what it had been. Both walked away feeling cheated.The hardest part? All of it was avoidable. That surprises people. You can form a perfectly legal LLC, open a bank account, sign contracts, and operate for years without ever putting your internal deal in writing. But “legal” and “smart” are not the same thing.When there is no written agreement, the state fills the gaps with default rules. Those defaults are generic. They do not know that one partner put in twice the capital. They do not know that you verbally agreed one partner would get a larger share for bringing in the clients. They do not care about your handshake. Default rules treat every member the same unless a written agreement says otherwise.Even businesses that do have an operating agreement often let it go stale. The company grows, new people come in, money gets invested, but nobody updates the document. That is just as dangerous. An outdated agreement can be worse than no agreement at all, because it creates false confidence.<h2>What a Good Operating Agreement Actually Does</h2>Think of an operating agreement as a business prenup. Nobody likes talking about what happens when things go wrong, but those conversations are a hundred times easier to have when everyone is still getting along. A solid operating agreement answers the questions that will inevitably come up:Who owns what, and how did you calculate it? If someone wants out, how do you determine the price? Who has the authority to sign contracts, hire employees, or take on debt? If the owners disagree on a major decision, how do you break the tie? What happens if an owner dies, gets divorced, or goes bankrupt?None of these questions are fun to think about. But every single one of them came up in our partners’ dispute — and without answers on paper, the court had to guess.<h2>The Litigator’s Perspective</h2>As a litigator, I see these disputes after they have already become lawsuits. By then, the options are limited and expensive. What strikes me every time is how predictable these fights are. The same issues come up over and over: ownership percentages that were never documented, decision-making authority that was never defined, exit terms that were never discussed.The businesses that avoid my office are not the ones with the fanciest legal structures. They are the ones that had uncomfortable conversations early, put the answers in writing, and updated the document as the business changed. That is the entire secret.<h2>Three Things You Can Do This Week</h2>First, find your operating agreement. If you have one, read it. Ask yourself: does this reflect how we actually run the business today? If the answer is no — or if you cannot find the document at all — that is your sign.Second, identify the gaps. Does the agreement address what happens if an owner leaves? Does it say who can make financial commitments on behalf of the company? Does it match your current ownership structure? If any answer is “I’m not sure,” you have found a gap.Third, talk to a lawyer who handles business disputes — not just formations. A litigator who has seen operating agreements fail can tell you exactly which provisions matter most and which gaps are most likely to hurt you.<h2>Does Your Operating Agreement Cover This?</h2>If you are an LLC owner or manager, take five minutes today and ask yourself: if my business partner and I disagreed tomorrow about who owns what, could I point to a document that settles it?
