The ethical duty of technology competence is now effective in forty states across the United States. The duty requires that attorneys be competent with the benefits and risks of technology. For in-house and outside counsel alike, this raises the standard of care in the context of giving advice and direction about how businesses establish and maintain a “reasonable security programs, implement “privacy by design” in their business operations, and evaluate the risks to data subjects associated with the processing of their personal data. Compliance programs aren’t the only place where technical competence is needed – understanding how the underlying technology operates is increasingly critical for attorneys when drafting and negotiating technology agreements. Although neither in-house nor external counsel need to be technology experts, there now should be an emphasis on collaboration amongst each other and with the support of the company’s in-house or outsourced information security and information technology teams to document a demonstration of our “technology competence.”
