Peter R. Herman

Peter advises clients on a wide range of corporate transactions, including securities offerings, mergers and acquisitions, joint ventures, and start-up matters. 

He has represented both public companies and underwriters in public offerings of debt and equity securities, including large initial public offerings and private placements, and has particular experience advising insurance and reinsurance companies, including on some of the industry's largest IPOs. 

In the M&A arena, Peter represents both buyers and sellers in public and private transactions—mergers, stock purchases, and asset purchases—including domestic and cross-border deals. He regularly handles the formation, organization, and governance of corporations, partnerships, and limited liability companies, including structuring and financing for start-up companies, and advises public companies on regulatory compliance under the securities laws and marketplace rules.

• Represented a public company providing customized business research in its sale by merger 
• Represented a public company in a public offering of $275 million and €150 million of senior subordinated notes
