Overview
Mitchell focuses his practice on corporate and securities matters, advising both privately held and publicly traded companies—including several listed on the NYSE, AMEX, and NASDAQ—on a broad range of business transactions, financings, and general corporate matters. His client base includes private equity funds, financial institutions, business owners and managers, and not-for-profit organizations.
His transactional experience spans mergers and acquisitions, private equity investments, proxy contests and tender offers, joint ventures and strategic alliances, SPACs and reverse mergers, initial and follow-on public offerings, private placements of debt and equity, lending transactions, and Hart-Scott-Rodino filings and compliance. On the general corporate side, Mitchell regularly forms and organizes business entities and drafts letters of intent, confidentiality agreements, shareholder agreements, employment and consulting agreements, non-compete agreements, and distribution and agency agreements.
Mitchell has particular experience guiding entrepreneurs through the formation and growth of their businesses. He is also a CPA with Big Four accounting and tax experience, which he draws on when structuring and analyzing business transactions. While in law school, he clerked for the Honorable Cornelius Blackshear, U.S. Bankruptcy Judge for the Southern District of New York, and received the American Jurisprudence Award for excellence in the study of debtors' and creditors' rights.
Mitchell joined Michael Best with the New York team of Kane Kessler, P.C.
