Joseph J. Ventimiglia

Joe represents public and private companies in business combinations, including mergers, stock and asset acquisitions, and other strategic transactions. He advises clients throughout the transaction lifecycle, from structuring and negotiation through execution and post-closing matters. His experience includes advising clients on transaction-related due diligence and acquisition financing arrangements.

He also represents issuers, investors, lenders and borrowers in a broad range of financing and capital markets transactions, including secured and unsecured credit facilities. His experience includes representing issuers, underwriters and placement agents in registered and private offerings of equity and debt securities, advising on transactions involving special purpose acquisition companies (SPACs) and representing start-up and development-stage companies and investors in seed, venture capital and other early-stage financings.

In addition to his transactional work, Joe counsels clients on corporate governance, securities law compliance, periodic reporting obligations and other general corporate matters.
