Michael Best &amp; Friedrich LLP&nbsp;is seeking a&nbsp;Paralegal&nbsp;for our Venture Best team. The ideal candidate will have more than one year of experience and will assist Partners and Associates with a full range of corporate and venture capital matters, but we will consider strong candidates with no previous paralegal experience. &nbsp;

The ideal candidate will have experience in the following areas:

Manage positive relations with clients through regular written and oral communication

Collect, analyze, and maintain, information and documents following correct legal practice and Firm/Team standards and procedures 

Assist with early stage company documents, capitalization table upkeep and creating and early stage financing documents 

Familiarity with Carta equity management platform a plus

Entity formation and management - EIN applications, certifications of formation in Texas and Delaware, manage an entity database-formation, dissolutions, state and federal related filing and regulatory requirements

Assist with corporate transactional work, including, but not limited to: closings of acquisition, financing and reorganization transactions 

Research and analyze legal information such as: statutes, recorded judicial decisions, legal articles, legal codes, treaties, constitutions 

Support corporate governance matters, transactions, and due diligence

Assist in preparation of preliminary security offerings 

Maintain agreements and files for a registered investment advisor 

Organize business entities and manage various state compliance matters 

Experience in contract management, administrative activities, and paralegal services. Securities experience a plus. 

Excellent communication, organizational, and analytical skills

Knowledge of document management system(s)

Ability to work independently and with a team – effectively and efficiently in a fast-paced environment with an ability to multi-task and prioritize numerous tasks

High emotional intelligence for working in a somewhat demanding environment 

Excellent time management and project management skills

Exceptional knowledge of MS Office Suite and Excel

Location

The paralegal can be located in the Lincoln, Los Angeles or Madison office and will work with a national team.

Knowledge &amp; Education

Bachelor’s Degree and/or a paralegal certificate from an ABA approved paralegal program 

2-7 years of transactional law experience, but we will consider strong candidates with no previous paralegal experience

For California applicants only: The annual compensation range for this role in our California office is between&nbsp;$50,000 and $75,000. The salary range reflects our good-faith expectation for this role at the time of posting. Final compensation will depend on experience, skills, and internal equity. &nbsp;Employees are eligible to participate in Michael Best’s bonus program, subject to the program’s conditions and restrictions.
