Previously, the waiver only applied to post-secondary students. The waiver now covers a wider range of student founders, enabling greater access to the legal toolkit for entrepreneurs.What is updated:Wisconsin has expanded the statutory definition of a “student entrepreneur” to include students who are at least 18 and enrolled in a public, private, or tribal high school, or in a home-based private educational program, in addition to students enrolled in a Wisconsin post-secondary institution. The effect of this update is to extend the existing filing-fee waiver to a larger set of student founders, provided all eligibility criteria are met at the time of filing. The expansion was enacted as&nbsp;<a href="https://docs.legis.wisconsin.gov/2025/related/acts/224">2025 Wisconsin Act 224</a> and published on April 9, 2026.What are the requirements and how to file:The fee waiver applies only if, at formation, every member of the limited liability company (LLC) is a student entrepreneur and, if any organizer will not become a member, each such organizer is also a student entrepreneur. The statutory minimum age remains 18 for each organizer. If any organizer or member fails to satisfy the definition, the company must file on the standard form and pay the regular filing-fee.Student entrepreneur filers should use the&nbsp;<a href="https://dfi.wi.gov/Pages/BusinessServices/BusinessEntities/StudentEntrepreneurs.aspx">Department of Financial Institutions</a>’ (DFI) Student Entrepreneur Articles of Organization, Form 502SE, which is designated “No Filing Fee”. Ongoing fees and legal duties remain in force, and domestic LLCs owe a $25 annual report fee starting the year after formation.&nbsp;The effective date: June 1, 2026The expanded eligibility applies to Articles of Organization filed on and after June 1, 2026. Any LLC formation filed before that date remain subject to prior eligibility language.What does not change:The minimum age of 18 remains unchanged. If any person involved at formation does not meet the student entrepreneur’s definition, the waiver is unavailable and the standard $130 filing-fee applies.
