A recent decision from the Wisconsin Court of Appeals underscores an important compliance risk for hospitality businesses and other liquor license holders across the state: amending your license is not a mere formality, even when you have a long and unblemished operating history.

In <em>State ex rel. Conch Co. Inc. v. Village of Egg Harbor</em>, No. 2024AP641 (Wis. Ct. App. June 9, 2026), the court upheld a village board’s denial of a liquor license transfer request that sought to expand the footprint of an existing licensed premises. The decision confirms that local licensing authorities retain meaningful discretion when evaluating such applications, including where the applicant has operated without incident for decades.

The licensee in <em>Conch Co. </em>operated a tavern and beer garden in Egg Harbor. The licensee held Class B liquor and beer licenses, which allowed the business to sell most types of alcoholic beverages for enjoyment at the tavern, but only on the property described in the licenses – called the licensed premises in alcohol regulatory parlance.

The licensee acquired an adjoining lot to expand its alcohol service operation, and sought to update its licensing to include this new outdoor space. The only change the licensee had to make was to revise the outdoor premises described on its permits; the licensee was not selling its business or adding a co-owner, for example. Nonetheless, Wisconsin law, specifically Wis. Stat. § 125.04(12)(a), treats such modifications as license transfers, which require local government – here, the Egg Harbor Board of Trustees – approval.

Despite the seemingly mundane request to expand the licensed premises of an established operation, the Board denied the application. The Board cited concerns regarding traffic congestion near residential areas and state highways, as well as potential impacts on public safety, health, and welfare. They concluded that the applicant had not adequately addressed these concerns.

The licensee sued to challenge this denial, arguing that the statute did not give the Board discretion to deny a properly submitted application and, even if it did, the decision was arbitrary and capricious and therefore invalid under Wisconsin law.

The Court of Appeals ultimately upheld the Board’s denial. The Court reasoned that § 125.04(12)(a) used permissive language, which granted the Board discretion when evaluating license transfers. The Court also determined the decision was supported by substantial evidence, citing the fact that the licensee did not provide materials requested by the Board to address its concerns about the proposed expansion. &nbsp;

This decision reinforces several practical considerations for businesses that hold or seek to modify their liquor licenses in Wisconsin:

Local governments retain broad discretion when evaluating applications to transfer or amend licensed premises.
