Trey counsels entrepreneurs, start-ups, and emerging companies on funding, formation, exit, and general corporate matters including contracts, transactions, and governance. He also assists venture capitalists and other investors with fund formation, fundraising, and due diligence for new investments.
Before joining Michael Best, Trey split his time between a venture capital firm and a start-up-focused law firm. As an associate with Motivate Venture Capital, he reviewed and negotiated financing documents for early-stage start-up investments, drafted term sheets, convertible notes, SAFEs, warrants and other financing documents, and supported portfolio companies with general corporate matters. At the same time, Trey worked as an attorney at a boutique start-up law firm that serves the unique needs of start-ups and high-growth companies, with a focus in the technology sector. In that role Trey advised clients on corporate formation, Seed through Series B financings, compliance with privacy and other regulations, and employment matters.
Trey was also very active in the start-up and VC space during his time in law school. While pursuing his J.D. at The Ohio State University, he spent two years as an associate at NCT Ventures, an early-stage VC firm. There Trey worked with entrepreneurs seeking funding, managed deal flow, and assisted portfolio companies with customer acquisition, strategic partnerships, and fundraising. He also volunteered for the law school’s Entrepreneurial Business Law Clinic where he assisted early-stage and emerging companies with various legal issues.
In 2017 Trey co-founded High School AD Network, a bootstrapped internet company and communication platform for high school athletics programs and helped scale the operation across the U.S. and Canada. The company reached $50,000 in revenue within its first 16 months. Trey also established an annual scholarship program for students from member schools.
Additionally, Trey has served as a mentor for several start-up and accelerator organizations.
