Overview

Keith advises entrepreneurs, start-ups, and emerging companies on a range of transactional matters with a focus on funding, formation, exit, and general corporate matters. He provides practical business and legal counsel to companies at every stage, including start-ups and emerging businesses, investors, and mature companies.

Keith has represented hundreds of companies throughout the startup lifecycle and focuses on venture capital Series Pre-Seed-Z equity rounds, convertible note and SAFE financings, and ultimately exits and acquisitions.

Keith represents companies in a variety of industry sectors, including ecommerce (direct-to-consumer and consumer packaged goods, specifically in the food and beverage space), Software as a Service (SaaS), HealthTech, and Life Sciences (biotechnology and medical devices). He also leverages his previous experience in the outdoor industry to counsel skiing/snowboarding, cycling, climbing and camping companies.

Prior to joining Michael Best, Keith spent several years as a corporate associate with a large national law firm where he focused in complex financing for real estate and other transactions incorporating public and private financings involving tax-exempt bonds, low-income housing tax credits (LIHTC) and federal new markets tax credits (NMTC). He previously worked as a law clerk for a full-service law firm in Boulder where he assisted with a variety of transactions and worked closely with numerous start-up and entrepreneur clients.
