Keith advises clients on a range of transactional matters, with a focus on financing and investments. He provides practical business and legal counsel to companies at every stage, including start-ups and emerging businesses, investors, and mature companies.
Keith helps clients navigate complex financial transactions, including those incorporating public and private financings involving tax-exempt bonds, low-income housing tax credits (LIHTC) and federal new markets tax credits (NMTC). He represents affordable housing lenders, developers, housing authorities, and tax credit investors. Keith also counsels lenders for mortgage loans secured by multifamily mixed-use, office, and retail developments, and hotel projects. Additionally, he assists clients with real estate investments, acquisition and disposition of properties, and stock purchase agreements.
He also regularly advises start-up and early-stage companies, assisting with corporate formation, governance, drafting and reviewing contracts, employment agreements, technology assignments, founder purchase agreements, and other pertinent documents.
Prior to joining Michael Best, Keith spent several years as an associate with a large national law firm where he focused in complex financing for real estate and other transactions. He previously worked as a law clerk for a full-service law firm in Boulder where he assisted with a variety of transactions and worked closely with numerous start-up and entrepreneur clients.
