Representative transactions in which Thor acted as lead counsel include:
- A share for share public merger of two publicly traded Fortune 500 manufacturers.
- A public takeover of a United Kingdom company by a U.S.-based holding company.
- The largest merger of non-stock corporations in the U.S, which involved four separate entities.
- Acting as sole advisor to the independent directors of two public companies in “going private” transactions.
Thor has also represented banking syndicates and individual banks in:
- Restructuring senior and junior credit facilities of both publicly traded and privately held manufacturing and retail companies.
- Structuring credit facilities to borrowers, including bank holding company borrowers and successfully recovering funds upon subsequent defaults. These representations occurred in numerous jurisdictions throughout the United States.
