Overview

DC is a Partner in the firm’s Corporate Practice Group. In addition to providing general corporate representation to emerging growth companies, his practice focuses on working with companies and investment funds during all stages of their lifecycle, including structuring and negotiating mergers and acquisitions, debt and equity financing transactions, formation of special purpose vehicles, and recapitalizations and reorganizations.

He frequently provides counsel to private fund sponsors, family offices, and other investment managers in connection with fund formation, strategic transactions, deployment of capital, and implementation of traditional or unique investment strategies. Further, DC collaborates with clients regarding the structure and operation of the entities that serve as general partners and managers to their funds, including internal governance and economic arrangements such as the allocation and vesting of carried interest, joint ventures with and investments from strategic partners, and multi-generational planning and other partner additions and departures. 

DC enjoys working with entrepreneurs and has been one himself previously, having co-founded multiple ventures over the years. He brings his experience and understanding of being in the shoes of a co-founder to his practical counsel with clients. DC is also a frequently requested speaker at entrepreneurial events.

Experience

Representative matters include:

  • Advised an investment fund on its initial formation and offering.
  • Advised a family office in the formation of a special purpose investment fund for a pooled investment opportunity to its clients.
  • Served as lead attorney advising a technology company in a Series A investment round.
  • Advised clients on early stage financing, including equity and debt (non-convertible and convertible instruments) angel and institutional capital as well as accelerator program capital and participation.
  • Advised multiple sell-side clients in private equity roll up transactions. 
  • Advised a technology client in a reverse triangular merger with a strategic partner.
  • Advised early stage ventures on entity and domicile selection, redomiciling, and restructuring to accept investment.
