Overview

Angela is a trusted advisor to healthcare providers and organizations navigating the complex regulatory landscape of the healthcare industry. She partners with clients to develop practical strategies that align with their business goals while maintaining compliance with laws such as the Stark Law, Anti-Kickback Statute, HIPAA, and corporate practice of medicine rules.

Angela has significant experience representing independent providers and the businesses they operate—including clinics, ambulatory surgery centers, and clinically integrated networks. She regularly advises clients on the formation and operation of managed services organizations (MSOs), enabling collaboration between provider and non-provider stakeholders. She also counsels clients on innovative value-based care models, including bundled payment programs, employer-sponsored clinics, direct primary/specialty care, and tiered networks.

As a former chief legal officer of a healthcare startup, Angela brings a practical, business-minded approach to client service. She frequently acts as outside general counsel, providing timely, actionable advice that supports her clients’ day-to-day and strategic objectives. From formation and fundraising to operational growth and compliance, she partners closely with both emerging and established organizations.

In addition to her legal practice, Angela is a passionate educator who enjoys simplifying complex healthcare regulations for her clients and other diverse audiences. She has taught and presented on healthcare topics in a variety of settings, including the Medical College of Wisconsin and Marian University, as well as at industry events, corporate retreats, and educational forums.

Experience

Angela has considerable experience with the following types of matters:

  • Representation of ambulatory surgery centers and other physician-owned facilities regarding day-to-day regulatory compliance, physician buy-ins, succession planning, shareholder disputes, joint-ventures, and centers of excellence programs.
  • Formation and structuring of numerous physician practices, from solo practitioners to large multi-specialty groups, including practices using a divisional model.
  • Advising several independent practice associations (IPAs) and clinically integrated networks (CINs) with respect to regulatory compliance (including antitrust considerations), organizational governance, provider contracting and payer contracting.
  • Structuring and implementing multiple bundled payment programs, including drafting all necessary documentation for use with participating providers and payers regarding the scope of each episode, financial risk-bearing and sharing (where applicable), and operational matters such as primary network compatibility, patient cost-share (or lack of cost-share), and relations with third-party administrators and other third-party service providers.
  • Development and documentation of joint ventures and other strategic relationships between healthcare providers, such as timeshares, group purchasing arrangements, space/equipment leases, hospital/physician alignment efforts (including co-management and service line agreements), and provider network formation.

Representation of multiple cooperatives of employers, providers, and community members seeking to improve affordable access to care through joint purchasing of healthcare services, electronic health record software, and cooperative development of healthcare facilities.
