Overview

Andy maintains a robust transactional and outside general counsel practice.  He advises faith-based and mission-driven organizations, including churches, schools, camps, and foster & adoption organizations. 

Examples of ways Andy serves clients include advising on bylaws, contracts, mergers, acquisitions, and other combinations, divestitures of locations or business lines, property transactions, facility use policies, exempt organization matters such as UBIT and property tax exemptions, personnel policies, counseling centers, internal investigations, and related legal, transactional, and strategic matters.

Andy also assists healthcare providers with transactional, regulatory, and operational matters. He has significant experience with healthcare matters including business transactions, acquisitions, the Anti-Kickback Statute, the Stark Law, HIPAA and privacy matters, contract drafting, and due diligence. 

Prior to joining Michael Best, Andy practiced at a major international law firm and served in-house as Associate University Counsel at the University of North Carolina (UNC)-Chapel Hill. At UNC, Andy advised the University’s schools of Medicine, Dentistry, and Pharmacy on a wide range of transactional, regulatory, and operational matters. He also served as the Associate Dean for Strategy & Compliance at UNC’s Adams School of Dentistry on an interim basis.

Outside of the office, Andy has served various nonprofit organizations and his church.  Andy and his wife Laura are grateful to have 4 young children and invest most of their time with them.

  • Buy-side and sell-side counsel in strategic and roll-up acquisitions.
  • Negotiated a research collaboration and option agreement in a public/private partnership.
  • Counseled a faith-based nonprofit organization through an in-depth internal investigation and ecclesiastical court trial process.
  • Developed and implemented physician and dentist compensation plan for mid-sized and large practice groups.
  • Advised physician and dentistry practice groups in creating form employment agreements.
  • Advised owner of dental practice in sale to employee.
  • Advised single-specialty physician practice in buy-in of new partner and transfer of property.
  • Advised practice group in various joint ventures.
  • Advised owner of multi-state metals business in sale to investor group.
  • Advised orthopedic surgeon in split from partner and practice sale to hospital.
