Our featured presenter for this program is John Chang, who serves as the First Vice President of Research Services for Marcus & Millichap. Mr. Chang is responsible for the production of the firm’s vast array of commercial real estate research publications, tools, and services. He is a frequent speaker around the country at conferences, corporate events, webcasts, and client engagements. For this program, Mr. Chang will share insights into major economic trends and how they will influence the performance of commercial real estate investments in 2017. Topics will include national and local trends in multifamily, retail/office, and industrial sectors.

The program will also include a preview of significant real estate issues likely to be taken up by the state legislature in the upcoming session presented by State Representative, Scott Allen, Vice-Chair of the Assembly Committee on Housing and Real Estate. Hidden Liabilities in Non-Recourse Loans

In this two-part presentation, Attorney Brent A. Stork will first provide an overview of the types of “nonrecourse” or “limited recourse” carve-outs typically included in commercial loan documents, and how lenders, borrowers and guarantors can negotiate these carve-outs in order to avoid unexpected liability, while at the same time achieving the lender’s business objectives.

Next, Attorney Timothy G. Schally will discuss a recent IRS Chief Counsel Memorandum that has created significant concern in the real estate industry. This Memorandum questions whether debt that is otherwise "nonrecourse" is treated as "recourse" solely because of a highly contingent guarantee by a partner. Tim will discuss the Memorandum, its potential ramifications and ways to address it.
