Kelli Toronyi Newman is a partner practicing in employee benefits, executive compensation, employment and health care law.
Ms. Toronyi advises clients in all aspects of employee benefits, including qualified retirement plans, ESOPs, non-qualified deferred compensation plans, welfare benefit plans, health care reform (Patient Protection and Affordable Care Act), HIPAA Privacy Rules and Security Rules, COBRA, consumer-driven health plans (including HRAs and HSAs), Code Section 409A, executive employment agreements and change in control agreements, equity compensation arrangements, and ERISA fiduciary and prohibited transaction issues.
Ms. Toronyi has substantial experience representing clients in ESOP transactions, asset and stock mergers, acquisitions and sales, including negotiations, drafting, and advising with regard to pre- and post-closing issues.
Ms. Toronyi serves as an adjunct professor of law with the Employee Benefit LL.M. program at The John Marshall Law School in Chicago teaching in the area of equity compensation and qualified retirement plans.
